Turinglab
Turinglab is an educational service provider (“Turinglab”, “we”, “us”,”our”) with a belief that everyone should have the opportunity to learn to code creatively. Turinglab Ltd is registered at Unit 219, Peckham Levels, 95A Rye Lane, Peckham, London, SE15 4ST.
Services
The term (“Services”) refers to both the Online Services and Offline Services.
Online Services
Turinglab provides teaching resources, curricula and software for learning to code in a creative way. These collectively, in addition to our online website, are the (“Online Services”).
Offline Services
Turinglab runs regular extracurricular coding workshops, often partnering with universities or sponsoring corporations. Turinglab also visit schools to provide workshops during class time. These are the (“Offline Services”).
Users
The term (“User”) refers to any individual that participates, interacts with, or otherwise makes use of the Services. There are different ways in which you may access or use the Services. In each and every instance, you are only authorized to use the Services if you agree to abide by all applicable laws, rules, regulations, as well as this Terms of Use. You may use the Services as:
Students
a (“Student”), meaning you are a User that is not an Educator (see below) and have created an account to access the Online Services, or have been allocated one by an Educator,
Attendees
an (“Attendee”), meaning you are a User that intends on attending, is currently attending, or has attended in the past, the Offline Services,
Consenting Adult
a (“Consenting Adult”), meaning you are a parent or guardian of a Student or Attendee with the legal ability to consent to these Terms on behalf of a Student or Attendee,
Educator
an (“Educator”), meaning you are a User that has created an account to access the Online Services for the purposes of supporting a Student or Attendee.
Authorised Educator
If you are an Educator and have registered accounts for Students, or you have distributed a class code associated with your account to Students enabling them to sign up, you are an acting as an (“Authorised Educator”).
Instructor
If you are an Educator and you have access to classes created by another Educator, you are acting as an (“Instructor”). Most commonly Instructors will only support Students that are also Attendees.
Content Creator
A (“Content Creator”), meaning you are a User that has created an account to access the Online Services and have the ability to create teaching resources for these Services.
Terms
These Terms of Service (“Terms”) are a legal contract between you and Turinglab regarding the use of the Services. Please read the Terms carefully before accessing, using or attending the Services.
Accessing, using or attending any part of the Services or by clicking an “I Agree”, “Sign up” or “Register” button that may be available to you means that you have read, agree and are in compliance with these Terms.
Accessing, using or attending the Services by anyone under the age of 13 is strictly prohibited without the permission of a Consenting Adult or through the approval of an Authorised Educator who has previously obtained the permission of a Consenting Adult.
Accepting Terms on behalf of others
If you are a Consenting Adult or an Authorised Educator you represent and warrant that you or the organisation you work for has the proper permission to register a student under the age of 13 (a “Child”) for the Services, that you have complied with all applicable laws in providing such information, and that you possess the necessary Consenting Adult's consent for Turinglab's collection of the Child's personal information as per our Privacy Policy.
You also agree to be bound by these Terms on behalf of the organisation you work for, and if you do not the authority described you must not accept these Terms and may not use the Services.
Use of the Services
Online Services
Accounts
Before you can start using our Online Services you will have created, or will have been allocated, an account (“Account”).
Once you have access to an Account, you can start using the Online Services for the purpose of learning, or facilitating and supporting the learning of another User (the “Predetermined Purpose”).
Your Account is non-transferable. Your Account may only be used by you and not by anyone else. You agree that you will never divulge or share access or your access information to your Account with any third party for any reason.
You agree that all the information associated with your Account is accurate, complete and is kept up-to-date at all times.
We reserve the right to close or suspend your Account if we have reason to believe that your Account details are being used by anyone other that you, or if you have not kept your access information confidential.
License
Subject to your compliance with these Terms, we grant you a fully revocable, worldwide, non-exclusive, non-transferable, non sub-licensable limited right and license to access, internally use and display the Online Services as an individual only at your location solely as necessary for the Predetermined Purpose.
Closing or suspending your account
You may wish to suspend or delete your Account at any time, which you are permitted to do by contacting us using the details under the heading Contact Details.
User Content
As a User you have the ability to create materials using the Online Services (“User Content”) depending on your account type.
As a Student you can create projects using code, upload images to these projects and respond to questions using text or other input methods.
As an Educator you have full Student functionality and in addition can providing feedback upon, or mark, student projects.
As a Content Creator, you will be able to create topic introductions that feature text and image based slides as well as quiz questions of mixed-type; tutorials that feature step-by-step instructors, starter and solution code; challenges that include a brief, a set of requirements as well as starter and solution code; reference documentation of mixed-type.
You are solely responsible for User Content you post to the Services and the consequences of posting or publishing them. By uploading, submitting, creating, or publishing your User Content to or through the Services, you represent, and warrant that:
- you are the creator and owner of your User Content and that you have the authority to use or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit;
- your User Content does not and will not:
- infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right or
- slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person;
- your User Content does not contain any viruses, adware, spyware, worms, or other malicious code.
Publicity
As a User of the Online Services you acknowledge that Turinglab and its partner organisations which include, but are not limited to, organisations that provide funding to Turinglab, work with Turinglab developing content or as delivery partners, supporting with the distribution of the Online Services, (our “Partner Organisations”). Turinglab and Partner Organisation may use for publicity purposes and without prior notification any of your User Content.
Copyright
Turinglab respects the intellectual property rights of others and expects Users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your work has been copied in a way that constitutes copyright infringement please contact us using the details in the Contact Us section of these Terms.
Links
The Online Services may contain links to other online services (“Linked Sites”), and those Linked Sites may contain content or offer products and/or services for sale.
We do not author, edit, control, or monitor these Linked Sites. You acknowledge and agree that:
- We have no responsibility for the accuracy or availability of the information provided by Linked Sites; and
- We do not control or endorse the sponsors of such Linked Sites or the content, products, advertising or other materials presented on such Linked Sites.
- We are not liable for any transactions conducted by you with third parties through any Linked Site or for any liability arising from any representations or information provided on such Linked Sites
- We appreciate that Linked Sites may contain material in which the operator of the Linked Sites has intellectual property rights. We respect those rights and provide the links for information purposes only. The fact that we have linked to any Linked Site does not create or imply any relationship or partnership with the operator of such Linked Site.
We may add or remove links from our Online Services at any time for any reason.
Offline Services
Cancellation
Turinglab may cancel at any point without any acknowledged reason any of the Offline Services.
Medical & Behavioral
Any medical or behavioural problems of an Attendee known to you must be notified to Turinglab in writing, through digital or print means, prior to the commencement of the Offline Services. Turinglab reserves the right not to accept your application on the grounds of any such medical or behavioural problems.
In the event that the Attendee becomes ill or incapacitated during the Offline Services, you agree to medical treatment being given to the Attendee if required in accordance with the recommendations of a qualified medical practitioner. Such action shall be taken at your expense.
Turinglab reserves the right to remove any Attendee whose attendance, work or behaviour is inappropriate or unsatisfactory.
User Conduct
You agree to the following (“Code of Conduct”), or as a Consenting Adult, agree on behalf of your child, the Attendee:
You will:
- sit down, log on to the Turinglab learning platform and start working on my project at the beginning of each class;
- listen to the instructors and follow their instructions when asked;
- try to complete the projects on my own at first;
- ask for help if I get stuck;
- ask if I need to leave the class to use the bathroom;
- Stay with the instructor when walking to and from class from the waiting area;
- Remember to bring anything I need to each class.
You will not:
- be rude to the instructors or other students in the class;
- use other people's computers or change their code in any way without their permission;
- visit any websites in class other than those I need for learning;
- leave the classroom without an instructor
Publicity
You acknowledge that Turinglab, and any of its partner organisations, may use for publicity purposes and without prior notification any photograph or video taken of an Attendee at any location, and any statement (whether written or oral) made by you or the Attendee.
Child protection / safeguarding
Turinglab will contact Local Safeguarding Children's board if we suspect abuse or in an event of disclosure.
General Terms
User Conduct
As a condition of accessing or using any of the Services you are prohibited from undertaking, and agree not to: (a) violate any applicable laws, regulations or rules; (b) set up multiple Accounts in the Online Services, (c) reproduce, duplicate, copy, sell, resell, display, publish, transfer, distribute, create derivative works of, or exploit for any commercial purposes any portion of the Services, or any other aspect of our operations, other than as expressly allowed under these Terms; (d) reverse-engineer, decompline, disassemble or otherwise access the source code for any software that may be used to operate the Services; (d) use Turinglab's name, trademarks, or other materials in connection with, or to transmit, any unsolicited communications of emails; (f) use any high volume, automated, electronic, or third-party means to access the Online Services including without limitation robots, crawlers, browser plug-ins, browser extensions, spiders, or scripts; (g) frame the Online Services, place pop-up windows over its pages, or otherwise affect the display of its pages; (h) falsely state, impersonate, or otherwise misrepresent your affiliations with a person or entity, past or present; (d) force headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Services; (j) interfere with or disrupt the Services, or servers networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services.
In addition you may not upload, transmit to or otherwise make available through the Services any content, communications, or other information that contains any viruses, Trojan horses, worms, time bombs, cancelbots, or other disabling devices or other harmful components intended to or that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information; or that violates any applicable local, state, national or international law or otherwise advocates or encourages any illegal activity. Collectively known as (“Unauthorized Material”).
Personal Information
Your privacy is important to us. Turinglab's Privacy Policy explains how we treat your personal data and is incorporated into these Terms by reference. Please read the Privacy Policy carefully for information relating to Turinglab's collection, use, and disclosure of your personal information.
If you are a Student that uses an Account registered for you by a Educator or otherwise connected to an Educator, you agree that Turinglab may disclose your information to the Educators associated with your account.
If you are a Educator, you agree not to share student information you receive from Turinglab with anybody other than authorised agents of the classroom, school district, or other educational establishment you represent.
Disclaimers
Whilst we do all we can to ensure that the Services are of a high standard, you understand, acknowledge and agree that your use of any of the Services is at your sole risk and responsibility. The Services are provided “AS IS” and “AS AVAILABLE” with no representations or warranties of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
You assume total responsibility and the entire risk for your use of the Services without limiting the foregoing, we do not warrant that: (a) the Services will meet your requirements or expectations or achieve the intended purposes; (b) the Services, as applicable, will not experience outages or otherwise be uninterrupted, timely, secure or error-free (c) the information obtained through the Services will be accurate, complete, current, error-free, completely secure or reliable, or (d) that defects in or during the Services will be corrected.
You assume all risk of personal injury, including death and damage to personal property, sustained from use of the Services.
Limitation of Liability
Nothing in these Terms affects any statutory rights that you are entitled to as a consumer.
Under no circumstances shall Turinglab be liable to the User or any third party with respect to any special, indirect, incidental, consequential or economic loss, or any other losses, howsoever caused arising out of or in connection with these Terms. This includes (without limitation): (a) any loss of profit (directly or indirectly); (b) any loss of goodwill; and (c) any loss of opportunity.
Offline Services
You agree to be wholly liable for any and all actions and/or omissions of an Attendee under your responsibility. Without prejudice to the generality of the foregoing, you shall be liable for any liability, financial or otherwise, or injury or damage to property caused by the Attendee whilst participating in the Services, and shall fully indemnify Turinglab, their agents, contractors and/or employees for any loss, damage, costs or expenses resulting from such liability, injury or damage.
Except in respect of death or personal injury caused by Turinglab's negligence, we shall not be liable to you or the Attendee by reason of any representation (unless fraudulent) or any implied warranty, condition or other term or any duty at common law or under these Terms for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by or negligent or the negligence of our servants, or agents or otherwise) which arise out of or in connection with the provision of the Services or their use by you or the Attendee, and our entire liability under or in connection with these Terms shall not exceed the total paid to attend the Offline Services, or use the Online Services.
Where Turinglab provides, in connection with the provision of the Services, any goods or equipment or services supplied by a third party, Turinglab does not give any warranty, guarantee or other terms as to their quality, fitness for purpose, performance or otherwise.
Turinglab shall not be liable to you or be deemed to be in breach of the contract by reason of any delay in performing, or any failure to perform, any of Turinglabs obligations in relation to the Services, if the delay or failure was due to any cause beyond Turinglabs reasonable control
Indemnity
You agree to indemnify, defend and hold harmless Turinglab, its subsidiaries and affiliates, and each of their officers, directors, agents, employees, and assignees from any and all claims, liabilities, expenses and damages, including reasonable attorneys' fees and costs, made by any third party relating to or arising out of (a) your use or attempted use of the Services in violation of the Terms, (b) your use or attempted use of any code, program, data, information or any other materials provided through the Services in a manner inconsistent with the Terms, (c) your use or your violation of any law or rights of any third party, or (d) your information you post or otherwise make available on or through the Services, including without limitation any claim of infringement of intellectual property or other proprietary rights.
Force Majeure
We shall not be liable for any delay in performing or failure to perform any obligation (including to action any alteration or cancellation) due to any case beyond our reasonable control including lock-outs, strikes, shortages of personnel, labour disputes, war, riot, act of God, civil commotion, terrorism, malicious damage, threats to safety, compliance with any law or governmental order, rule, regulation or direction, accident, environmental contamination, pandemic outbreak of disease, breakdown of plant or machinery, fire, flood, storm, difficulty or increased expense in obtaining workmen, materials, goods or raw materials in connection with the performance of this agreement.
Intellectual Property Rights
The Services are owned and operated by Turinglab and its licensors.
All content or other material available through the Services, including, but not limited to, information on the website, video, images, text, layouts, illustrations, documents, quizzes, tutorials, challenges, audio files, video clips, code, files (collectively, the “Content”), are the property of Turinglab and/or its affiliates or licensors and are protected by copyright, patent and/or other proprietary intellectual property rights under the law.
Other than any User Content, we own or are licensed to use all present and future copyright, registered and unregistered trademarks, design rights, unregistered designs, database rights and all other present and future intellectual property rights and rights in the nature of intellectual property rights existing in or in relation to the Services.
Changes to these Terms
We may update or amend these Terms from time to time to comply with the law or to meet our changing business requirements. When we update our Terms, we will take appropriate measures to inform you consistent with the significance of the changes we make. Any updates or amendments will be viewable online.
By agreeing to these Terms, you also agree to be bound by any updates or amendments to the Terms so long as you continue to use the Services.
Termination of rights
You agree that Turinglab, in its sole discretion, may deactivate your Account or otherwise terminate your use of the Services, or any part thereof, for any reason or no reason, including, without limitation, if we believe that you have (a) breached the Terms; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted Unauthorized Material to the Services; or (d) violated or acted inconsistently with the letter or spirit of the Terms or any applicable code of conduct.
You agree that any deactivation or termination of your access to the Services may be affected without prior notice to you and that Turinglab shall not be liable to you nor any third-party for any termination of your Account or access to the Services.
You also acknowledge that Turinglab may retain and store your information on Turinglab's systems in accordance with our Privacy Policy.
Other Important Terms
- These Terms, your use and access to the Website, and all other policies issued by us whether referred to by us herein or not are governed by and construed in all respects in accordance with the laws of England and Wales.
- Any or all disputes arising between you and us (whether contractual or non-contractual) in connection with your access and use of the Website, including as to the validity of these Terms or policy issued by us, will be subject to the exclusive jurisdiction of the courts of England and Wales. For any dispute between you and us, you agree that you will first attempt to resolve it with us informally. In the unlikely event that we are unable to resolve the dispute in this manner within 28 days of the dispute being notified in writing, we both agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any such dispute.
- Notwithstanding the above paragraph, you agree that we are permitted to apply for injunctive remedies (or any other types of interim relief) in any jurisdiction at any time.
- If any of these Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the remainder of these Terms remain in full force and effect.
- Only you and we are entitled to enforce these Terms. No third party is entitled to enforce any of these Terms, whether by virtue of the Contracts (Rights of Third Parties) Act 1999 (which is expressly excluded) or otherwise.
- We may freely transfer or assign any part of our rights or delegate our obligations under these Terms. You are not entitled to transfer or assign, by operation of law or otherwise, any part of your rights or delegate your obligations under these Terms without our prior written consent.
- These Terms set out the entire agreement between you and us and replace any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by law. Any delay or failure by us to exercise any right we may have under these Terms does not constitute a waiver by us of that right.
